These Terms of Service (the "Terms of Service") govern the use of the Website.

By using the Website you confirm that you have read and understand these Terms of Service and agree to abide by them at all times. The BALLGAME.COM Privacy Policy is incorporated into these Terms of Service by reference. By agreeing to the Terms of Service you also agree to the BALLGAME.COM Privacy Policy.

  1. Terms of Use

    By accessing or using BALLGAME.COM, you agree to comply with these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services.

  2. Acceptable Use

    As a user of our Website, you agree to use our Website legally, and that you will not use our Website for unlawful purposes, and you will not improperly treat, or be disrespectful to, any other member of our community.

    You must not violate the intellectual property rights of the Website owners or any third party to the Website, and you must not gain unauthorized access to any other user's account.

    YOU ARE RESPONSIBLE FOR SECURELY MAINTAINING YOUR OWN ACCESS CREDENTIALS.

    You must not act in any way that could be considered fraudulent, or post any material that may be deemed inappropriate or offensive.

    If we believe you are using our site unlawfully, or in a manner that violates these Terms of Service, we reserve the right to limit, suspend or terminate your access to our site. We also reserve the right to take any legal steps necessary to prevent you from accessing our site.

  3. Warranties

    1. You declare and warrant that:
      1. You are over 18 years of age or such higher minimum legal age of majority as stipulated in the jurisdiction of your residence and are, under the laws applicable to you, legally allowed to participate in the games offered on the Website;
      2. WHEN PARTICIPATING IN STANDARD OR PROMOTIONAL PLAY, YOU DO NOT RESIDE IN, OR ACCESS THE PLATFORM FROM, THE EXCLUDED TERRITORIES;
      3. You use our Website strictly in your personal capacity for recreational and entertainment purposes only;
      4. You participate on the Website on your own behalf and not on behalf of any other person;

      6. Cryptocurrency or FIAT currency (“FIAT”) that you use to purchase Shots is not tainted with any illegality and, in particular, does not originate from any illegal activity or source, or from ill-gotten means;
      7. You will not purchase Shots from a business or corporate account, but only a wallet or credit card held in your name;
      8. You will not be involved in any fraudulent, collusive, fixing or other unlawful activity in relation to your or third parties’ participation in any of the Website’s application(s) and you will not use any software-assisted methods or techniques (including but not limited to bots designed to play automatically) or hardware devices for your participation in any of the games on the Website. We reserve the right to invalidate any participation in the event of such behavior;
      9. When purchasing Shots, you must only use a valid Payment Medium which lawfully belongs to you;
    2. It is a Customer’s sole responsibility to ensure that their Participation is lawful in their jurisdiction.
    3. You shall not act in a manner that is defamatory, trade libelous, threatening, or harassing.
    4. You shall not engage in potentially fraudulent or suspicious activity and/or transactions.
    5. You must cooperate in any investigation or provide confirmation of your identity or the accuracy of any information you provide to us.
    6. You shall not provide false, inaccurate or misleading information in connection with your use of the Platform, in communications with BALLGAME.COM, or otherwise connected with these Terms.
    7. You shall not violate, or attempt to violate, (1) any law, statute, or ordinance; or (2) BALLGAME’s or any third-party’s copyright, patent, trademark, trade secret, or other intellectual property rights, or rights of publicity or privacy.
    8. You declare that your access and use of the Platform and/or the games on the Website, and your execution and delivery of, and the performance of your obligations under these Terms, will not result in a breach of any applicable laws, rules or regulations or of any order, decree or judgment of any court, any award of any arbitrator or those of any governmental or regulatory authority in any jurisdiction.

  4. Accounts

    When you create an account on our Website, you agree to the following:

    1. you are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and
    2. all personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.

    We reserve the right to suspend or terminate your account if you are using our Website illegally or if you breach these Terms of Service.

  5. Intellectual Property Rights

    BALLGAME.COM uses artificial intelligence (“AI”) systems to create certain images, artwork, and visual representations that may depict athletes, teams, logos, or sports scenes (“AI-Generated Content”). These images are produced for illustrative and entertainment purposes only and do not portray or represent real persons, organizations, or events with factual accuracy.

    Any resemblance to actual athletes, brands, or teams is incidental or fan-inspired and should not be construed as an endorsement, sponsorship, or affiliation. BALLGAME.COM does not claim any rights to, nor seek to commercially exploit, the name, likeness, trademarks, or other protected intellectual property of any athlete, league, or organization.

    AI-Generated Content used in connection with markets, promotions, or game experiences may not precisely reflect the subject matter or outcome of a market (for example, an image depicting a player taking a “shot” may accompany a market referencing “rebounds”). Such content is not evidence of performance, event data, or market accuracy and may not be relied upon for claims, disputes, or compensation of in-game currency or prizes.

    If you believe any AI-Generated Content infringes your rights, please contact legal@ballgame.com, and we will review and, where appropriate, remove or modify the material.

    Users cannot use, copy, or distribute our intellectual property without permission.

    All content published and made available on our Website is the property of BALLGAME unless otherwise stated. This includes, but is not limited to images, text, logos, documents, smart contracts, NFTs, code, downloadable files and anything that contributes to the composition of our Website.

  6. License and Restrictions

    BALLGAME.COM grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for personal, non-commercial purposes. You may not:

    1. Modify, copy, or distribute any content without our written permission.
    2. Use our platform for any illegal or unauthorized purpose.
    3. Attempt to reverse engineer or exploit our systems.
    4. Sell, transfer, or sublicense your account.
    5. Circumvent security measures or tamper with our services.

    Violation of these terms may result in account suspension or termination.

    These Terms of Service are governed by the laws of the jurisdiction in which BALLGAME operates, being Victoria, Australia.

  13. Paid Services and Payment Information

    These Terms of Service govern the sale of goods and services available on our Website.

    There are no fees for the use of many aspects of the Services. However, some services, features, and products may be available for purchase ("Paid Services"). By purchasing or using Paid Services, you agree to these Terms of Service.

    We cannot guarantee the quality or accuracy of any digital goods and services sold on our Website, however, if we are made aware that a user is in breach of these Terms of Service, we reserve the right to suspend or prohibit the user from accessing or interacting with our Website.

    1. Overview

      While many aspects of the Services are free, BALLGAME offers certain virtual items, subscriptions, and features as Paid Services. These include virtual assets such as "Shots," which can be purchased in bundles or via a subscription plan, but Coins and Tickets cannot be directly bought. Shots means the virtual social gameplay currency which enables you to play on the Website. Shots have no monetary value and cannot under any circumstance be redeemed for cash or prizes.

    2. Payment Information
      To purchase Paid Services, you may submit payment details such as a debit card, credit card, or other methods via our Services. We work with third-party payment processors (e.g., Apple, Google, Stripe, PayPal, Dynamic) to process payments. By submitting payment details, you agree that:
      1. Your Payment Information is accurate and authorized for use.
      2. You will pay all applicable fees, taxes, and charges on time.
      3. You authorize us and our Payment Partners to charge your account for Paid Services.
      4. Payment Partner terms and conditions and or terms of service and policies may also apply.
    3. Changes to Fees

      BALLGAME.COM reserves the right to change the fees associated with Paid Services at any time with reasonable notice. Temporary promotions or discounts may not require prior notice.

    4. Third-Party Paid Services

      Some Paid Services may be offered by third-party sellers within the BALLGAME ecosystem. We act as a payment facilitator but are not responsible for the quality or fulfillment of third-party services.

    5. Discounts and Gifts

      BALLGAME.COM may offer limited-time discounts or gifting options for Paid Services. If participating in a trial period for a subscription, you must cancel before the end of the trial to avoid automatic charges.

    6. Refund Policy

      All purchases are final, non-refundable, and non-returnable, except where required by law.

    7. Taxes and Fees

      You are responsible for all applicable taxes, fees, and costs associated with your purchase of Paid Services, including internet and data charges.

  14. Shots

    BALLGAME.COM may offer users the option to purchase or receive Shots individually or in bundles (“Shot Bundles”). These items are intended solely for use within the BALLGAME.COM ecosystem for entertainment purposes. From time to time, BALLGAME.COM may include Shots or Shot Bundles as part of promotions, giveaways, or other offers. Participation in such offers is subject to the applicable promotional terms. Shots do not have a monetary value and can only be used to play games on the Website. Shots can be used for entertainment only and cannot be redeemed for any value whatsoever.

    1. BALLGAME.COM reserves the right, at its sole discretion, to change the contents, pricing, or availability of any Shot Bundle, or to suspend or remove Shot Bundles entirely, at any time without prior notice.
    2. In the event of modification or removal, BALLGAME.COM is not obligated to provide compensation, refund, or replacement for unused Shots or unredeemed portions of bundles.
    3. BALLGAME.COM will give Shots free of charge on:
      1. Daily Bonus: You can claim Shots once per day, through logging into your Customer Account and claiming your daily bonus.
      2. Promotional Giveaways: Promotional giveaways organized by BALLGAME.COM on its social media accounts (for example, Facebook, X, Instagram, Discord).
    4. The purchase of Shots is the purchase of a license that allows you to Participate in games on the Website and it is not a deposit of funds which can be withdrawn. Funds used to purchase Shots will not, and cannot, be refunded to you. Shots do not have any real money value.
    5. You can purchase Shots on the Website through one of the Payment Methods available on the website.
    6. The Payment Methods you use to purchase Shots must be legally and beneficially owned by you and in your name. If it comes to our attention that the name you registered on your Customer Account and the name linked to your Payment Method differs, your Customer Account will be immediately suspended. Should your Customer Account be suspended, we recommend that you contact Customer Support through the legal@ballgame.com email address.
    7. BALLGAME.COM reserves the right to request documents and information to verify the legal and beneficial ownership of the Payment Methods you use to make Shot purchases.
    8. You agree that we and/or our Payment Administration Agents may store your payment information to process your future purchases. By accepting these Terms, you authorize BALLGAME.COM and/or our Payment Administration Agents to store your payment credentials in compliance with applicable payment processing regulations.
    9. Once a Shot purchase has been made, the funds will be withdrawn from your Payment Methods as soon as practicable.
    10. The maximum Shot purchase that can be made is USD $ 999 (nine hundred and ninety nine US dollars) per day.
    11. If you are found to have one or more of your purchases returned and/or reversed or charged back, your account will be suspended. If this occurs, the amount of such purchases will constitute a debt owed by you to us and you must immediately remit payment for such purchases through an alternative payment method. Until payment is received by us or our Payment Administration Agent, your account will be suspended and any purchases will be deemed void.
    12. All Shot purchases must be made using FIAT or a cryptocurrency supported by the Platform.
    13. Any exchange or transaction fees, charges or related costs that may be incurred as a result of, or in relation to, your purchase of Shots are to be borne solely by you, including but not limited to any losses or additional costs arising from foreign exchange fluctuations.

  15. Coins and Tickets

    BALLGAME.COM coins and tickets are promotional items issued by BALLGAME.COM for use in connection with BALLGAME.COM events, games, or related activities on the Website. By accepting or using Coins and or Tickets, you agree to these Terms of Service.

    1. Coins and Tickets have no cash value and cannot be redeemed for cash, credit, or any other monetary equivalent. They are not legal tender and may not be exchanged for goods or services except as expressly offered by BALLGAME.COM.
    2. Coins and Tickets are not available for purchase. They may only be received through authorized BALLGAME.COM promotions, giveaways, or other free distribution methods. Any sale, resale, or attempted sale of Tokens is strictly prohibited and void.
    3. Coins and Tickets are provided solely for promotional and entertainment purposes. Receipt or use of a Token does not grant any right to future benefits, prizes, or participation in future events unless explicitly stated by BALLGAME.COM.
    4. Coins and Tickets are non-transferable unless expressly permitted by BALLGAME.COM and may expire at BALLGAME.COM’s discretion. BALLGAME.COM reserves the right to cancel, revoke, or limit the use of Tokens at any time, without notice.
    5. Any attempt to sell, trade, counterfeit, alter, or misuse Coins and Tickets is prohibited and may result in disqualification from BALLGAME.COM promotions or events.
    6. BALLGAME.COM reserves the right to modify, suspend, or terminate the Token program or these Terms at any time without prior notice.

  16. Lottery

    1. Eligibility and Participation

      Participation in the BALLGAME.COM Lottery (“Lottery”) requires valid BALLGAME.COM Tickets. Tickets are the sole means of entry into the Lottery.

    2. Free entry

      Tickets can be earned for free through authorized BALLGAME.COM promotions, activities, or events. Tickets cannot be purchased under any circumstances.

    3. No Cash Value

      Tickets used for Lottery entry have no cash value and cannot be redeemed for money, credit, or any other form of consideration.

    4. Prizes and Distribution

      Lottery prizes are awarded exclusively in the cryptocurrency USD Coin (USDC), an ERC-20 token distributed on the Base Blockchain.

    5. Smart Contracts

      All prize distributions are executed through independently audited smart contracts to ensure fairness and transparency.BALLGAME.COM is not responsible for any third-party wallet issues, transaction failures, or network errors related to blockchain operations.

    6. No Purchase Necessary

      Entry into the BALLGAME.COM Lottery does not require any payment or purchase. Participation is entirely free through the earning or receipt of Tickets.

    7. Delays, Rescheduling, and Cancellations

      BALLGAME.COM reserves the right to delay, reschedule, suspend, or cancel any Lottery drawing or prize distribution due to technical issues, blockchain network congestion, smart-contract audits, regulatory reviews, system maintenance, or other unforeseen circumstances. In the event of a delay or rescheduling, BALLGAME.COM will make reasonable efforts to notify participants through official channels (such as the BALLGAME.COM website, app, or social media). If a Lottery must be cancelled, BALLGAME.COM may, at its discretion, reschedule the draw or transfer valid entries to a future Lottery event. BALLGAME.COM shall not be liable for any losses, damages, or inconvenience arising from such delays, rescheduling, or cancellations.

    8. Compliance

      The Lottery is subject to all applicable laws and regulations in the jurisdiction where BALLGAME.COM operates. BALLGAME.COM reserves the right to modify or discontinue the Lottery or these Terms at any time without prior notice.

  17. Market Settlement (Standard and Custom Markets)

    BALLGAME.COM offers a variety of prediction or outcome-based events (“Markets”), which may include Standard Markets (e.g., “LA Clippers to beat the Knicks”) and Custom Markets (e.g., “Jimmy Butler changes his hairstyle mid-season and goes viral again”).

    All Markets are designed for entertainment and engagement purposes within the BALLGAME.COM platform and are governed by these Terms.

    1. Settlement Authority

      The settlement of all Markets, including both Standard and Custom Markets, shall be determined solely and conclusively by BALLGAME.COM (or its appointed administrators). BALLGAME.COM’s decision regarding any Market outcome shall be final and binding, and participants expressly agree to accept BALLGAME.COM’s determination as conclusive.

    2. Subjective or Discretionary Outcomes

      Certain Custom Markets may rely on subjective, interpretive, or qualitative judgments. In such cases, BALLGAME.COM shall have full and exclusive discretion to determine whether the event conditions have been met, based on its interpretation of publicly available information or other criteria deemed relevant.

    3. Delays in Settlement

      From time to time, BALLGAME.COM may delay the settlement of any Market for operational, technical, regulatory, or review-related reasons including, but not limited to, data verification, dispute investigation, or system maintenance. BALLGAME.COM shall not be liable for any inconvenience, delay, or opportunity loss resulting from such postponements.

    4. Incorrect Settlements

      While BALLGAME.COM strives for accuracy in all Market outcomes, errors may occasionally occur (for example, due to data feed issues or human error). In the event a Market is settled incorrectly, BALLGAME.COM will make reasonable efforts to identify and correct the error as soon as possible, at BALLGAME.COM’s sole discretion. BALLGAME.COM reserves the right to reverse, amend, or void settlements determined to be inaccurate. Participants acknowledge that corrections may not always be feasible and that BALLGAME.COM’s final decision shall remain binding.

    5. Right to Modify or Void Markets
      BALLGAME.COM reserves the right, at its sole discretion, to suspend, amend, or void any Market (whether Standard or Custom) if:
      1. errors, manipulation, or external events compromise its integrity,
      2. official data sources are unreliable or unavailable, or
      3. a settlement cannot be reasonably determined.
    6. No Liability

      BALLGAME.COM assumes no liability for any losses, perceived unfairness, or disputes arising from the settlement, delay, or correction of any Market.

  18. Subscriptions

    1. BALLGAME.COM Subscription

      BALLGAME.COM subscription(s) are purchases of Shots that grants users special perks, offers and or rewards as well as enhanced access to exclusive features within the BALLGAME.COM ecosystem. By purchasing any BALLGAME.COM subscription, you expressly agree to recurring payments at the specified intervals (weekly, monthly or annually) until canceled by you or BALLGAME.COM.

      Users can manage their subscriptions and Payment Information via their account settings within the platform on the Website. Payments are processed on the calendar day corresponding to the start of the subscription period. If a subscription starts on a date not available in the next billing period (e.g., March 31), billing will occur on the last available day of that period.

      If a subscription payment fails due to insufficient funds or incorrect payment details, the user must update their Payment Information to maintain access. If successfully charged, the new billing period will retain the original renewal date rather than the updated payment date.

      BALLGAME.COM reserves the right to modify the subscription pricing and features with advance notice. Continued use beyond the notified change date constitutes acceptance of the new pricing. Users who do not wish to accept the price change may cancel their subscription before the renewal date.

    2. Subscription Cancellation

      Users can cancel their subscriptions at any time. To prevent auto-renewal, cancellation must occur at least 24 hours before the next billing cycle.

      To cancel, users must follow these instructions:
      1. Click on the User Profile icon on the Website
      2. Click on My Profile
      3. Navigate to Subscriptions
      4. Click on Manage
      5. Click on Cancel Subscription

      A subscription remains active until the end of the current billing cycle. Users will retain premium access until expiration but will not receive prorated refunds or credits for unused time.

      Each subscription is tied to a single user account and is non-transferable. Upon cancellation, users will lose access to any premium features, including saved virtual assets associated with the subscription.

  19. User Conduct

    Users must not engage in harassment, fraud, hacking, or other harmful activities.

    Violations may result in account suspension or permanent bans.

  20. Risk Acknowledgment

    Users assume the risks of losing access to their accounts, changes in services, and interactions with other users.

    BALLGAME.COM is not responsible for any losses due to third-party actions.

  21. User-Generated Content

    Users grant BALLGAME.COM a license to use, modify, and distribute any content they submit.

    We reserve the right to remove content that violates our policies.

  22. Prizing and Rewards

    Any prizes or rewards are subject to eligibility, verification, and compliance with local laws.

    Fraudulent activities may void rewards.

  23. Privacy Policy and Data Usage

    We collect and process user data per our Privacy Policy.

    Users consent to data collection for improving our services.

  24. Account Termination

    We may suspend or terminate accounts that violate these terms.

    Users can request account deletion, but certain data may be retained as required by law.

    BALLGAME.COM Operators refers to all parties that run, and are responsible for the Website, and includes legal persons, unincorporated associations, foundations, and DAOs if applicable.

    BALLGAME.COM and the BALLGAME.COM Operators, which includes our representatives, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Website.

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WHATSOEVER WILL WE OR OUR AFFILIATES, OR OUR RESPECTIVE PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, SUBCONTRACTORS AND SUPPLIERS, BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY OTHER ENTITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, UNDER ANY LEGAL THEORY, WHETHER CONTRACT, TORT OR OTHERWISE,

    FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING ANY LOST PROFITS AND LOST BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, LOST REVENUE, INCOME, GOODWILL, USE OF DATA OR OTHER INTANGIBLE LOSSES, IN EACH CASE THAT RESULT FROM OR RELATE IN ANY MANNER TO YOUR PARTICIPATION OR ANY OTHER ACT OR OMISSION BY US.

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL WE, OUR AFFILIATES, AND OUR RESPECTIVE PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, SUBCONTRACTORS OR SUPPLIERS, BE LIABLE TO YOU FOR MORE THAN THE AMOUNT YOU HAVE PAID US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM. YOU ACKNOWLEDGE AND AGREE THAT IF YOU HAVE NOT PAID US ANY AMOUNTS IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS TO STOP USING THE PLATFORM AND TO CLOSE YOUR CUSTOMER ACCOUNT.

    YOU RECOGNIZE AND AGREE THAT THE WARRANTY DISCLAIMERS IN CLAUSE 6, AND THE INDEMNITIES AND LIMITATIONS OF LIABILITY IN CLAUSE 6 ALSO, ARE MATERIAL AND BARGAINED FOR BASES OF THESE TERMS AND THAT THEY HAVE BEEN TAKEN INTO ACCOUNT AND REFLECTED IN THE DECISION BY YOU TO ENTER INTO THESE TERMS OF SERVICE. Depending on where you reside and use the Platform, some of the limitations contained in this clause, clause 23, may not be permissible. In such case, they will not apply to you, solely to the extent that they are prohibited.

  29. Indemnity

    Except where prohibited by law, by using the Website you indemnify and hold harmless BALLGAME.COM, the BALLGAME.COM Operators which includes our representatives, officers, agents, employees, related entities, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Website or your breach of these Terms of Service.

  30. Applicable Law

    These Terms of Service are governed by the laws of Victoria, Australia and you agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for any dispute arising from the use of this website and these Terms of Service.
